This Marketing Media Agent Contractor Agreement (“Agreement”) is entered into as of [Date], by and between [OTT and Streaming TV Service Provider Name] (“Company”) with its principal place of business at [Address], and [Contractor’s Name] (“Contractor”), an independent contractor, with its principal place of business at [Address].
WHEREAS, Company desires to engage the services of Contractor to promote its streaming services, attract and obtain subscribers, and keep subscribers engaged to reduce churn;
WHEREAS, Contractor agrees to provide such services to Company under the terms and conditions set forth in this Agreement;
NOW, THEREFORE, in consideration of the mutual promises herein contained, the parties hereto agree as follows:
1. Services
1.1 Contractor shall provide marketing, promotional, and engagement services (“Services”) to the Company as outlined in Exhibit A attached hereto and made a part hereof.
1.2 Contractor shall use its best efforts to attract new subscribers to the Company’s streaming services and to keep existing subscribers engaged to reduce churn.
2. Term
2.1 This Agreement shall commence on [Start Date] and shall continue until [End Date], unless terminated earlier in accordance with the provisions of this Agreement.
3. Compensation
3.1 Company agrees to pay Contractor a fee of [Fee Amount] per month, payable on the [Day] of each month.

5. Independent Contractor
5.1 Contractor is an independent contractor and not an employee, agent, joint venture, or partner of the Company. Contractor has no authority to bind the Company or incur other obligations on behalf of the Company.
5.2 Contractor shall be responsible for all taxes and other statutory deductions in respect of the fees paid by the Company.
6. Confidentiality
6.1 Contractor agrees to keep confidential all information concerning the Company’s business, products, services, and clients (“Confidential Information”), and not to disclose or use such information without the prior written consent of the Company.
7. Intellectual Property
7.1 Any materials, content, or deliverables developed by Contractor in the course of performing the Services shall be the exclusive property of the Company. Contractor hereby assigns to Company all rights, title, and interest in and to such materials, content, and deliverables.
8. Termination
8.1 Either party may terminate this Agreement for any reason by providing thirty (30) days written notice to the other party.
8.2 Company may terminate this Agreement immediately upon written notice if Contractor breaches any term of this Agreement and fails to cure such breach within ten (10) days of receipt of notice from the Company.
9. Indemnification
9.1 Contractor shall indemnify, defend, and hold harmless the Company from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorney’s fees, arising out of or in connection with Contractor’s performance of the Services.
10. Governing Law
10.1 This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of laws principles.
11. Entire Agreement
11.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, and communications, whether written or oral, regarding the subject matter hereof.
